The terms governing use of myhotail's website, platform and services.

Introduction

Welcome to myhotail.

These Terms of Service ("Terms") govern your access to and use of the products and services provided by myhotail GbR ("myhotail", "we", "our" or "us").

By accessing our website, purchasing our Services or using any part of our platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our Services.

These Terms form a legally binding agreement between you and myhotail.

Scope

These Terms apply to all products and services offered by myhotail, including but not limited to:

  • AI Visibility Dashboard;
  • AI Visibility Reports;
  • Website Audits;
  • Website Redesign and Optimization;
  • AI Visibility Optimization services;
  • AI Automation services;
  • Consulting and advisory services; and
  • any additional products, features or services that we make available from time to time.

Certain Services may be subject to additional agreements or service-specific terms. Where such additional terms apply, they supplement these Terms. In the event of a conflict, the service-specific terms will prevail for that particular Service.

Eligibility

Our Services are intended for business customers and professional users.

By using our Services, you confirm that:

  • you are at least 18 years old;
  • you have the legal authority to enter into binding contracts;
  • where you act on behalf of a company or organisation, you are authorised to bind that entity to these Terms; and
  • the information you provide is accurate and kept up to date.

You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations.

Our Services

myhotail provides software, digital products and professional services designed to help hospitality businesses strengthen their visibility across AI-powered search and discovery platforms.

Depending on the Service selected, this may include access to the AI Visibility Dashboard, AI Visibility Reports, website audits, optimisation recommendations, implementation services, consulting or other related offerings.

We continuously develop and improve our Services. As a result, features, functionality, interfaces and available tools may change over time.

We may introduce, modify, improve or discontinue features where reasonably necessary to improve our Services, comply with legal requirements or maintain security and reliability.

We will make reasonable efforts to avoid material disruptions to active customer Services.

Customer Accounts

Certain Services require the creation of a customer account.

When creating an account, you agree to provide accurate, complete and up-to-date information and to keep this information current throughout your use of the Services.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

If you believe that your account has been accessed without authorization or your credentials have been compromised, you must notify us without undue delay.

We reserve the right to suspend or restrict access to an account where we reasonably believe that account security has been compromised or where continued access could negatively affect our Services, other users or our business.

Customer Responsibilities

When using our Services, you agree to:

  • provide accurate information where required;
  • use the Services only for lawful purposes;
  • comply with these Terms and all applicable laws;
  • maintain the confidentiality of your account credentials;
  • use the Services responsibly and in good faith; and
  • cooperate with us where reasonably necessary to provide the requested Services.

You remain responsible for the accuracy of the information you provide to us.

Where our Services rely on customer-provided information, inaccurate or incomplete information may affect the quality of analyses, recommendations or other outputs.

Prohibited Use

To protect our Services and all customers, you agree not to:

  • use the Services for any unlawful, fraudulent or deceptive purpose;
  • interfere with the operation, security or availability of our Services;
  • attempt to gain unauthorized access to our systems or those of other users;
  • circumvent subscription limits, usage restrictions or technical safeguards;
  • share account access with unauthorized third parties where your subscription does not permit it;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or underlying technology of our software, except where expressly permitted by applicable law;
  • use automated tools, bots or scripts to access the Services in a manner that places unreasonable demands on our infrastructure;
  • introduce malware, malicious code or other harmful technologies into our Services;
  • use the Services in a way that infringes the rights of others or violates applicable law.

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including suspension or termination of access where reasonably necessary.

Subscriptions and Service Availability

Certain Services are provided on a subscription basis, while others may be offered as one-time purchases or professional engagements.

The scope, pricing, included features and usage limits of each Service are determined by the plan or agreement applicable to the customer.

Where a Service includes usage limits, such as the number of scans available during a billing period, those limits apply only to the applicable subscription unless otherwise agreed in writing.

Although we strive to provide reliable Services, we do not guarantee uninterrupted or error-free availability.

From time to time, access may be temporarily affected by scheduled maintenance, technical updates, security measures, third-party service interruptions or circumstances beyond our reasonable control.

Where reasonably possible, we will seek to minimise disruptions and restore Services promptly.

Fees and Payment

Customers agree to pay all applicable fees associated with the Services they purchase.

Unless otherwise agreed, payments are due in accordance with the pricing and billing terms presented at the time of purchase.

Where recurring subscriptions apply, the customer authorises recurring billing until the subscription is cancelled in accordance with these Terms.

Late or failed payments may result in suspension or termination of access to the affected Services.

Unless expressly stated otherwise, all fees are exclusive of applicable taxes.

Customers are responsible for providing accurate billing information and keeping payment details up to date.

Changes to the Services

Technology evolves rapidly, particularly in the field of artificial intelligence.

Accordingly, we continuously improve, update and refine our Services to enhance functionality, maintain compatibility with third-party technologies, improve security and respond to changes in the market.

We may introduce new features, modify existing functionality or discontinue certain features where reasonably necessary.

Such changes do not entitle customers to refunds or compensation solely because functionality has evolved, provided that the overall purpose of the purchased Service continues to be delivered.

Where material changes significantly affect active subscriptions, we will make reasonable efforts to provide appropriate notice.

Intellectual Property

Unless expressly agreed otherwise in writing, all intellectual property rights relating to the Services remain the exclusive property of myhotail or its licensors.

This includes, without limitation:

  • the AI Visibility Dashboard;
  • AI Visibility Reports;
  • website content;
  • software;
  • source code;
  • designs;
  • graphics;
  • logos;
  • trademarks;
  • databases;
  • documentation;
  • text;
  • visual materials; and
  • all other content made available through our Services.

These Terms do not transfer ownership of any intellectual property rights to the customer.

Subject to these Terms and any applicable subscription or service agreement, myhotail grants customers a limited, non-exclusive, non-transferable and revocable right to access and use the Services solely for their own internal business purposes.

Customers may not reproduce, distribute, modify, commercialise, sublicense or otherwise exploit any part of the Services unless expressly permitted by applicable law or with our prior written consent.

Artificial Intelligence

Certain Services provided by myhotail use artificial intelligence to generate analyses, recommendations and other outputs.

Artificial intelligence is an evolving technology. The outputs generated by AI systems are based on available information, statistical models and automated processing and may therefore contain inaccuracies, omissions or outdated information.

AI-generated outputs should be used as a decision-support tool and not as a substitute for independent business, legal, financial or technical judgement.

Customers remain solely responsible for evaluating whether recommendations are appropriate for their individual circumstances before implementing them.

The availability, quality and content of AI-generated outputs may change over time due to updates made by third-party AI providers or changes in publicly available information.

No Guarantee of Results

myhotail is committed to providing high-quality Services based on current industry knowledge, technical expertise and commercially reasonable efforts.

However, due to the dynamic nature of artificial intelligence, search engines and online platforms, we cannot and do not guarantee any specific business outcome.

In particular, we do not guarantee:

  • improved AI visibility;
  • inclusion in AI-generated responses;
  • specific rankings or positioning;
  • increased website traffic;
  • increased direct bookings;
  • increased revenue;
  • improved search engine rankings;
  • improved business performance; or
  • any particular commercial result arising from the use of our Services.

Any examples, case studies, estimates or projections presented by myhotail are provided solely for illustrative purposes and should not be interpreted as guarantees of future performance.

Limitation of Liability

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law.

Subject to the foregoing, myhotail shall be liable only for damages resulting from intentional misconduct or gross negligence.

In cases of ordinary negligence, our liability shall be limited to breaches of essential contractual obligations (Kardinalpflichten) and only for foreseeable damages typically arising from the relevant contractual relationship.

To the maximum extent permitted by applicable law, myhotail shall not be liable for indirect, incidental, consequential or purely economic damages, including but not limited to:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • loss of data;
  • interruption of business; or
  • losses resulting from changes made by third-party AI providers, search engines or other external platforms beyond our reasonable control.

We are not responsible for interruptions, delays or limitations caused by third-party infrastructure providers, internet service providers or external services on which certain functionality depends.

Customers remain responsible for the business decisions they make based on analyses, recommendations or other outputs generated through our Services.

Indemnification

Customers agree to indemnify and hold harmless myhotail GbR, its partners, employees and authorised representatives from and against claims, losses, liabilities, damages and reasonable costs arising from:

  • the customer's unlawful use of the Services;
  • violations of these Terms;
  • infringement of third-party rights caused by information provided by the customer; or
  • misuse of the Services by the customer or persons acting on the customer's behalf.

This provision applies only to the extent permitted under applicable law.

Suspension and Termination

Customers may discontinue their use of the Services at any time.

We reserve the right to suspend or terminate access to all or part of the Services where reasonably necessary, including where:

  • these Terms are materially breached;
  • payments remain outstanding;
  • fraudulent or unlawful activity is suspected;
  • continued access would compromise the security or integrity of our Services; or
  • we are required to do so by law.

Termination of access does not affect any rights or obligations that have arisen before the effective date of termination.

Provisions relating to intellectual property, liability, payment obligations and applicable law shall continue to apply following termination where appropriate.

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Where legally permissible, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms shall be Berlin, Germany.

Where mandatory consumer protection laws require a different jurisdiction, those mandatory provisions remain unaffected.

Changes to these Terms

We may update these Terms from time to time to reflect changes to our Services, legal requirements or business operations.

The current version will always be published on our website together with its effective date.

Where required by law or where changes materially affect our contractual relationship with existing customers, we will provide appropriate notice before the updated Terms become effective.

Continued use of the Services following the effective date of revised Terms constitutes acceptance of the updated Terms unless applicable law requires a different procedure.
